The service

Vquity is software for managing startup equity: cap tables, funding rounds, SAFEs and convertibles, option grants and vesting, valuations tracking, waterfall and scenario modeling, a document Data Room, document templates, and investor and employee portals. It is provided by LISAN AI - FZE as part of the Lisan platform, on the web and as a desktop app for Windows. By creating an account or using Vquity you agree to these terms and to our Privacy Policy.

Your account

You are responsible for the accuracy of the data you enter, for the people you invite into a workspace, and for keeping access to your email account secure, since sign-in codes are delivered by email. You must have the authority to manage the equity records of any company workspace you administer.

Acceptable use

Do not use Vquity to:

  • store or process data you have no right to hold;
  • attempt to access other customers' workspaces or probe the service for vulnerabilities outside responsible disclosure (see Security);
  • resell, scrape, or bulk-extract the service itself (exporting your own data is always allowed);
  • break the law, including securities and privacy laws that apply to your company.

We may suspend accounts that put the service or other customers at risk. Where practical, we will warn you first.

Subscriptions and payment

Vquity has a free plan and paid plans. For a paid plan, the price, currency, billing period, and included features are those shown at checkout when you subscribe. Fees are stated in US dollars unless your order says otherwise, are charged in advance for each billing period, and are exclusive of taxes: where tax applies it is added, and where you must withhold or self-account for tax you remain responsible for it. Payments are processed by Stripe; we do not store full card numbers. We may change pricing for future billing periods with notice, and will not retroactively change a period you have already paid for. If an order or signed agreement conflicts with these general terms on a commercial point, that document controls for that point.

Renewal, cancellation, and refunds

Paid subscriptions renew automatically at the end of each billing period at the then-current price for that plan, unless cancelled before the period ends. You can cancel at any time from Plan and Billing in your workspace settings, or by writing to support@lisan.com. Cancellation stops the next renewal; paid features run to the end of the period you already paid for, and we do not pro-rate part-used periods. Fees already paid are non-refundable except where required by law or where we agree otherwise in writing, for example a billing error on our side or a material failure we cannot remedy. If a payment fails we may retry it and may suspend paid features until it succeeds.

What happens to your cap table when a paid plan ends. Nothing is deleted. Your workspace reverts to the free plan: existing companies, stakeholders, rounds, grants, and documents stay in place and stay readable, and every export stays available so you can take your data with you. Free-plan limits apply to new records from that point, so a workspace already above a free limit keeps what it has but cannot add more until it is on a paid plan again. There is no exit fee and no ransom on your own data.

Your data stays yours

You keep all rights to the cap-table data and documents you put into Vquity. We take only the limited licence needed to store, display, and process that data to run the service for you. XLSX and JSON exports cover company details, share classes, shareholders, rounds, grants, and warrants; CSV exports the shareholder register; JSON restores that structured backup; and Data Room documents download as a zip. There is no exit fee.

Disclaimers, read this part

Vquity is software, not advice. Nothing in the product, including calculators, modeled outcomes, and generated documents, is legal, tax, accounting, or financial advice.

  • Templates are starting points. Contract Studio templates (SAFEs, ESOP documents, transfers, and others) are drafts to review with your own counsel before signing. Laws differ by jurisdiction and change over time.
  • Modeling outputs are estimates. Waterfall, dilution, and scenario results depend on the inputs and assumptions you provide. Verify material outcomes with your advisors before acting on them.
  • Valuations are yours to source. Vquity tracks the lifecycle of 409A and FMV valuations; it does not produce the valuation itself.

The service is provided "as is" and "as available", without warranties of uninterrupted operation or fitness for a particular purpose, to the extent permitted by law.

Service changes and termination

We may add, change, or retire features as the product develops. For a material reduction to a paid service, we will provide notice where reasonably practical. You may stop using Vquity at any time and may request account deletion. We may terminate access for a serious or repeated breach of these terms, a security risk, or a legal requirement; where practical, we will provide notice and a reasonable opportunity to export supported data first.

Limitation of liability

To the maximum extent permitted by applicable law, LISAN AI - FZE is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising from your use of Vquity. Our total aggregate liability for claims relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded by law.

Governing framework

These terms are governed by the laws applicable to LISAN AI - FZE in its jurisdiction of registration, and disputes will be resolved in the competent courts or tribunals of that jurisdiction, unless mandatory local law gives you additional protections that apply regardless.
